With the kids heading back to school and Fall around the corner, Vail Resorts announced resort’s opening dates for the ’21-’22 ski and ride season. Some of our resorts here in the Northeast, such as Wildcat in New Hampshire, are scheduled to open as early as November 19.

This Summer, in addition to making significant capital investments in the Northeast, Vail Resorts announced a significant price reduction of 20 percent in all Epic Pass prices for the upcoming season. The numerous pass options allow guests to save big when visiting the seven northeastern resorts they know well; and they can also travel west to any of the 30 additional resort destinations in our Epic Pass network – all on one pass.

Opening Dates Announced for 34 North American Resorts

Vail Resorts announced the opening dates of its 34 North American resorts, offering guests one of the longest ski seasons in the country with a focus on safety and the guest experience. The action kicks off at Keystone this October, with the resort set to open as early as possible thanks to recent investments in a state-of-the-art, energy-efficient snowmaking system. And with enterprise-wide investments in snowmaking technology in recent years, 15 of the company’s North American resorts – including Breckenridge, Vail, Whistler Blackcomb and Okemo – are set to open for skiing and riding in November.

Vail Resorts prioritizes the health and safety of its guests, employees and communities and will continue to monitor public health guidance surrounding COVID-19. Details of any necessary safety protocols will be communicated ahead of the season as the situation continues to evolve. Last Chance for the Best Deal in Skiing and Riding; Epic Pass Prices Reduced 20 Percent, Increase Coming Labor Day

As the winter season draws near, so does the last chance for skiers and riders to get the lowest price on the entire suite of 2021/22 Epic Pass products, which saw a major price reduction of 20 percent this year. Labor Day is the last day to get an Epic Pass, Epic Day Pass or any pass option at the lowest price this year – unlocking access to resorts across the Northeast, Rocky Mountains and Pacific Northwest, including Whistler Blackcomb, which is now open to fully vaccinated Americans.

Skiers and riders can get the best ski and snowboard pass deal by purchasing a pass before prices go up after September 6. Some of the most popular pass offerings include: 

·         Epic Pass ($783 vs. $979 last season) provides unlimited, unrestricted access to 34 North American resorts – including Vail, Beaver Creek, Breckenridge, Park City and Whistler Blackcomb – as well as access to many partner resorts, including Telluride, Snowbasin and Sun Valley.  

·         Epic Local Pass ($583 vs. $729 last season) provides unlimited, unrestricted access to 26 resorts – including Breckenridge and Keystone – from the East to the West coast, as well as holiday-restricted access to resorts like Park City, Heavenly and Stowe, and 10 days total to use at Vail, Beaver Creek and Whistler Blackcomb.  

·         Northeast Value Pass ($479 vs. $599 last season) provides access to 18 resorts across the Northeast and Mid-Atlantic, including Stowe, Okemo, Hunter Mountain, Mt. Snow and Liberty. 

·         Epic Day Pass is the best option for anyone who plans to hit the slopes only one to seven days next season. BROOMFIELD, Colo.—September 24, 2019—Popular Northeast mountain resorts Hunter Mountain in New York and Mount Snow in Vermont, are now part of Vail Resorts and will be included on this year’s Epic Pass. Vail Resorts, Inc. (NYSE: MTN) today announced that the Company has closed on its acquisition of Peak Resorts, Inc. (NASDAQ: SKIS) for a purchase price of $11.00 per share. With this acquisition, Vail Resorts has added 17 U.S. ski areas to its network of world-class resorts, bringing its total number of owned and operated resorts to 37 worldwide.

The 17 new resorts are located in the Northeast, Mid-Atlantic and Midwest, near major metropolitan areas including New York, Boston, Washington, D.C., Baltimore, Philadelphia, Cleveland, Columbus, St. Louis, Kansas City and Louisville.

The new resorts in the Northeast are: Mount Snow in Vermont; Hunter Mountain in New York; and Attitash Mountain Resort, Wildcat Mountain and Crotched Mountain in New Hampshire. They join the Company’s existing Northeast resorts – Stowe Mountain Resort and Okemo Mountain Resort in Vermont, and Mount Sunapee Resort in New Hampshire – and together will provide skiers and riders incredible variety and choice in the region.

In the Mid-Atlantic, the acquired resorts are: Liberty Mountain Resort, Roundtop Mountain Resort, Whitetail Resort, Jack Frost and Big Boulder in Pennsylvania.

In the Midwest, the new resorts are: Alpine Valley, Boston Mills, Brandywine and Mad River Mountain in Ohio; Hidden Valley and Snow Creek in Missouri; and Paoli Peaks in Indiana. They join the Company’s other Urban resorts in the Midwest which draw guests from Chicago, Detroit and Minneapolis. Those resorts are: Wilmot Mountain in Wisconsin; Mt. Brighton in Michigan; and Afton Alps in Minnesota.

The 2019-20 Epic Pass, Epic Local Pass, Epic Australia Pass and Military Epic Pass now include unlimited and unrestricted access to each of the 17 ski areas, in addition to the access provided to some of the world’s most well-known resorts including Vail, Whistler Blackcomb, Park City and Breckenridge. Guests with an Epic Day Pass are also able to access these 17 ski areas as a part of the total number of days purchased. For the 2019-20 season, Vail Resorts will honor all Peak Resorts pass products and continue to sell them through the fall. Current Peak Resorts’ pass holders now have the option to upgrade to an Epic Pass or Epic Local Pass.

Following today’s closing, Vail Resorts plans to invest approximately $15 million over the next two years in one-time capital spending to elevate the guest experience at these resorts. Additionally, the Company’s annual ongoing capital expenditures are expected to increase by approximately $10 million to support the addition of the new ski areas.

Peak’s common stock will be delisted from the Nasdaq Global Select Market effective as of the close of trading on September 24, 2019.

Epic Pass Access Details

Vail Resorts currently offers the following access and benefits for 2019-20 Epic Pass, Epic Local Pass, Military Epic Pass and Epic Day Pass holders. These products now include access to each of the 17 acquired ski areas as outlined below.

• Epic Pass™: For $969 for adults and $509 for children (ages five to 12), the Epic Pass offers the following access and benefits:

Vail Resorts to Acquire Stowe Mountain Resort Vermont, Add to Epic Pass

Vail Resorts is moving to complete the acquisition of Stowe Mountain Resort, Vermont, which would be the company’s first resort on the East Coast, and would give East Coast skiers more of a reason to buy the Epic Pass.

Vail Resorts, Inc. in February entered an agreement to acquire Stowe Mountain Resort from Mt. Mansfield Company, Inc., a wholly owned subsidiary of American International Group, Inc. (AIG), for a purchase price of $50 million, subject to certain adjustments. Stowe Mountain Resort will be Vail Resorts’ first mountain resort on the East Coast and complements the Company’s network of 10 world-class mountain resorts and three urban ski areas.

This acquisition brings together Vail Resorts, a leading mountain resort operator, with AIG Global Real Estate (AIGGRE), a major real estate developer, which share a common vision for the long-term success of Stowe Mountain Resort as a premier, high-end resort for skiers and snowboarders on the East Coast. Vail Resorts is acquiring all of the assets related to the mountain operations of the resort, including base area skier services (food and beverage, retail and rental, lift ticket offices and ski and snowboard school facilities) at Mount Mansfield and Spruce Peak. Other facilities such as the Stowe Mountain Lodge, Stowe Mountain Club, Stowe Country Club and certain real estate owned and held for potential future development will be retained by MMC.

Stowe Mountain Resort in Stowe, Vt., has undergone major capital and facilities improvements including the Spruce Peak Adventure Center, the new Meadows Quad on Spruce Peak, Evolution Stowe’s RFID tickets, passes and gates and the new Shops at Spruce Peak. Spruce Peak also has new high-speed lifts, new base facilities and gourmet restaurants. MMC will retain ownership of the renowned Stowe Mountain Lodge at Stowe Mountain Resort, a 312-room hotel and spa that has already been recognized as one of the greenest and most luxurious mountainside hotels in the world, and additional slopeside real estate opportunities.

This transaction is subject to Vermont administrative review. At closing, the purchase price will be adjusted for certain agreed upon terms, including a reduction (or increase) in the price by the amount that the resort’s EBITDA exceeds capital expenditures for the period from Nov. 1, 2016, through closing. Stowe Mountain Resort is expected to generate incremental annual EBITDA in excess of $5 million in Vail Resorts’ fiscal year ending July 31, 2018.

Vail Resorts plans to integrate Stowe Mountain Resort into its Epic Pass and other season pass products for the 2017-18 winter season, subject to the acquisition closing. The plan includes the eight-passenger two-way high-speed Quicksilver gondola with mid-station and new trails, upgraded King Con and Motherload Lifts, new Miner’s Camp Restaurant, snowmaking upgrades and restaurant renovations.

Vail Resorts is also investing $10-15 million more in other resort improvements to elevate the guest experience, bringing its five-year resort investment total to more than $515 million. Improvements include upgrading Vail Mountain’s Avanti Express Lift (#2) to a six-passenger high-speed chairlift, expanding the “refreshing” snowmaking system at Beaver Creek, adding new snowmaking on the recently opened Peak 6 terrain at Breckenridge and rejuvenating the Keystone Lodge. • The Epic Pass: Ski as much as you want, whenever you want for $769. The Epic Pass pays for itself in less than five days of skiing or riding. With more than 32,000 acres of skiing and snowboarding terrain, this pass can’t be beat. Unlimited, unrestricted access to Vail, Beaver Creek, Breckenridge, Keystone and Arapahoe Basin in Colorado, Park City in Utah, Heavenly, Northstar and Kirkwood at Lake Tahoe, Perisher in Australia for the 2016 season, Afton Alps in Minnesota, Mt. Brighton in Michigan, and up to five free consecutive days when staying at in-resort accommodations at Verbier, Switzerland. No blackout dates. A child pass is $399.

• Epic Local Pass: Perfect for people who can navigate a pass with restrictions. For $579, get unlimited, unrestricted skiing or riding at Breckenridge, Keystone and Arapahoe Basin, as well as Afton Alps and Mt. Brighton, with limited restrictions at Park City, Heavenly, Northstar and Kirkwood. Also includes a total of 10 days at Vail and Beaver Creek with holiday restrictions. The Epic Local Pass pays for itself in less than four days. A child pass (ages five to 12) is $299.

• Epic 7-Day™ pass is great for guests who don’t plan to ski more than seven days next winter. The pass features seven unrestricted days of skiing and riding at Vail, Beaver Creek, Breckenridge, Keystone and Arapahoe Basin in Colorado; Park City in Utah; and Heavenly, Northstar and Kirkwood in Tahoe. The Epic 7-day is $579 for adults and $299 for children (ages 5-12). In addition, pass holders will receive a total of seven free days of skiing at Afton Alps and Mt. Brighton. The Epic 7-Day pays for itself in under four days of skiing and riding and provides more than 45 percent savings compared to lift tickets purchased at the lift ticket window next season.

• The Epic 4-Day: Is optimal for guests planning one ski vacation during the 2015-16 winter season. $389 for adults and $219 for children (ages 5-12). Ski any four days at Vail, Beaver Creek, Breckenridge, Keystone, Park City, Heavenly, Northstar, Kirkwood, and Arapahoe Basin, plus a total of four days at Afton Alps and Mt. Brighton. This pass pays for itself in just over two days and offers a savings of over 35 percent compared to lift tickets. Season Pass Insurance Option
